Lawsuit Timeline and Allegations

It covers purchasers of Wix securities from February 19, 2025 through May 12, 2026. Named defendants include CEO Avishai Abrahami, CFO Lior Shemesh, and President Nir Zohar. The allegations remain unproven, but they center on whether management misled investors about AI product competitiveness and cost structures.

Stock Performance and Market Reaction

WIX closed at $76.21 on September 4, down 6.15% on volume of 1.75 million shares. The stock had plunged 27.1% to $55.32 on May 13, the day the first-quarter filing revealed a collapse in non-GAAP operating margin to 5% from 21% a year earlier. Since that selloff, WIX has recovered 37.8%, but it remains just 0.4% above its May 12 close. A two-session drop in early September erased 12.1%, though the decline cannot be solely attributed to the lawsuit notices.

Q2 Results Show Margin Recovery

The second-quarter earnings report, released August 4, provided the first major test after the complaint. Revenue grew 15% to $563.1 million, while bookings rose 12% to $569.1 million. Non-GAAP operating margin recovered to 12%, up from 5% in Q1 but still below the 22% reported in the year-ago quarter. Free cash flow came in at $52.6 million, or $61.2 million before restructuring costs.

Management reiterated its low- to mid-teens revenue growth outlook and expects Base44's non-GAAP gross margin to reach about 60% in the second half, up from near zero at the start of 2026. However, these are targets, not completed results.

Operational Adjustments and Risks

Wix has taken steps to reset its cost base, including a workforce reduction of about 1,000 people (20%) announced in June. The company cut its 2026 bookings plan by $50 million and revenue plan by $25 million, while targeting $70 million in incremental savings and a $150 million annual run-rate.

Despite these efforts, challenges remain. Partners bookings have softened, and management expects bookings growth to trail revenue by several points. Lower AI inference costs will be reinvested in Base44 marketing, meaning gross margin improvements may not directly boost operating profit.

Investors should monitor Partners bookings, consolidated non-GAAP operating margin, and the promised Base44 gross-margin step-up in upcoming reports. A sustained margin recovery would weaken the lawsuit's economic theory, while another growth downgrade or cost spike could make the disclosure claims more relevant.

For now, the lawsuit adds process risk, but the stock's valuation ultimately depends on execution. The September 22 lead plaintiff deadline is a procedural milestone, not a verdict. As the case progresses, court filings will reveal whether the complaint survives dismissal attempts or reaches discovery.
