Shares of Zhibao Technology Inc. (NASDAQ:ZBAO) experienced a sharp rally on Wednesday, climbing 57% to $0.285 in afternoon trading, following the announcement of a non-binding private investment in public equity (PIPE) transaction tied to approximately 3,500 bitcoin. The proposed deal, valued at roughly $230.2 million based on bitcoin's current price of $65,778, is nearly 24 times the company's estimated equity value of $9.7 million.

The PIPE arrangement involves JOYERTECH AND INFORMATION OPC as the subscriber, with plans to purchase securities of Zhibao using bitcoin. However, the filing did not specify a subscription price, the number of securities to be issued, or the resulting ownership structure. This lack of disclosure leaves existing shareholders in the dark regarding potential dilution and the true value per share post-transaction.

Zhibao's equity valuation is based on 34.06 million shares outstanding as of April 20, with the stock trading at $0.285. The proposed bitcoin consideration is also 7.8 times the company's fiscal first-half revenue of $29.5 million, highlighting the scale of the deal relative to the underlying business. Despite the stock surge, the initial equity valuation remains only about 4% of the planned crypto capital, suggesting that the transaction is structured more as a control deal than a standard treasury acquisition.

Under the proposed terms, the buyer is expected to appoint a majority of the board upon closing, while existing management would continue to run the insurance business until any potential separation, sale, or restructuring. This governance shift underscores the transformative nature of the deal, which could fundamentally alter Zhibao's strategic direction. The filing did not include a closing date, exchange ratio, or valuation method, and it omitted details about the buyer, making it difficult for investors to assess the transaction's impact.

The stock's intraday volatility was notable, with shares reaching as high as $0.409, a 126% increase from Tuesday's close, before settling back. Trading volume surged to 457 million shares, which is 26.5 times the number of Class A shares disclosed in April. This frenzied trading activity reflects both investor enthusiasm and uncertainty surrounding the deal's implications.

Zhibao's financial position adds another layer of risk. The company reported a working-capital deficit of $4.3 million at the end of December and an operating cash outflow of $1.7 million. According to unaudited accounts, these factors raised significant doubt about the company's ability to continue as a going concern. Additionally, Zhibao faces a minimum-bid price deficiency from Nasdaq, requiring a closing share price of at least $1 for 10 consecutive trading days by January 6, 2027. At $0.285, the stock is 71.5% below that threshold.

The PIPE deal is still subject to several conditions, including valuation of the bitcoin, custody agreements, audit confirmation, and regulatory clearance. Compliance with Nasdaq listing requirements is also necessary. The term sheet may not reach a binding stage, and bitcoin's inherent price volatility could upend the economics of the transaction. Undisclosed terms of issuance could substantially dilute existing holders, and failure to resolve the bid-price violation could lead to delisting.

Investors are advised to monitor upcoming filings for the subscription price and amount of securities to be issued. Confirmed custody arrangements and completed closing terms are also critical. For now, the 3,500-bitcoin figure does not reflect the value per share, and significant risks remain. The company's ability to execute this unconventional financing while addressing its operational and regulatory challenges will be key to its future trajectory.
