AMC Entertainment Holdings Inc. (NYSE: AMC) saw its shares climb nearly 5% on Friday, following an escalating confrontation between its chief executive and Robinhood Markets Inc. (NASDAQ: HOOD) over a crypto token tied to AMC stock. The dispute, which began as a branding issue, has evolved into a broader debate about who controls investor demand and how companies raise capital in an increasingly tokenized market.
At 2:31 p.m. EDT, AMC shares were trading at $2.665, up 4.9%, while Robinhood's stock slipped 1.3% to $123.10 a minute later. The market reaction underscores the significance of the clash, which pits a traditional equity issuer against a fintech platform offering synthetic exposure to its shares.
The Token Dispute
AMC CEO Adam Aron had criticized Robinhood's AMC stock token on Thursday, but Friday brought a more forceful stance. He called for a voluntary cease-and-desist, threatened legal action, and said he would file a complaint with the U.S. Securities and Exchange Commission (SEC), according to a report from CoinDesk.
Robinhood's Chief Legal Officer Dan Gallagher rejected the demand, and CEO Vlad Tenev defended the product, stating, "We stand behind Stock Tokens." The company's quarterly filing draws a clear legal line: the tokens provide economic exposure to selected U.S. securities but convey no legal ownership or shareholder rights, including voting rights.
The product, launched in June 2025, is available only to eligible customers in certain European Economic Area jurisdictions and is not offered to U.S.-based customers. That distinction is crucial for AMC, which has repeatedly turned to the equity markets to raise cash.
Capital Raising at Stake
AMC raised $85.3 million gross through an at-the-market program during the second quarter and completed a $200 million registered direct equity offering. Additionally, about $155.8 million of exchangeable notes converted into common stock, pushing the company's weighted average diluted share count to 722.0 million, up 66.7% from 433.1 million a year earlier.
The company's balance sheet remains under pressure. AMC issued $400 million of secured notes with a 12.75% coupon, although the transaction extended major maturities. Cash and cash equivalents stood at $778.4 million as of June 30.
A direct AMC share sale puts cash directly on the company's balance sheet, but a token purchase does not. Robinhood's filing does not specify whether each token order triggers a matching purchase of AMC shares in the underlying market. The indirect effect is uncertain, as token issuers or counterparties may hedge exposure, but public documents do not establish a one-for-one hedge for AMC tokens.
Industry Reactions
Industry observers have weighed in on the dispute. Armani Ferrante, CEO of crypto exchange Backpack, told CoinDesk that Aron's concern about capital formation had "real substance." Fairmint co-founder Joris Delanoue was more blunt: "A token is not equity."
AMC's operating rebound provides context for the fight. Second-quarter revenue rose 14.2% to $1.597 billion, adjusted EBITDA surged 69.6% to $321.4 million, and the net loss narrowed to $11.4 million. Still, the financing burden remains heavy, with $400 million in secured notes carrying a 12.75% coupon.
Regulatory Risks
Robinhood also faces legal risks. The Bank of Lithuania has requested clarification about the tokens, and Robinhood acknowledges that U.S. regulators could assert jurisdiction, potentially leading to injunctions, fines, or product limits.
Friday's trading showed some volatility. AMC retreated from an intraday high of $3.10, while Robinhood recovered from a session low of $118.35. The risks cut both ways: no court or regulator has ruled on AMC's complaint, and token trading could continue unchanged while AMC shares remain exposed to dilution, movie attendance trends, and expensive debt.
The next hard evidence will come from a formal legal filing, an SEC response, or fuller disclosure of Robinhood's hedging practices. Until then, AMC's gain reflects a fight over market plumbing, not new cash in the bank.
