EDPR Shares Climb 2.2% as Investors Eye Pending Brazil Deal Closure

LISBON – EDP Renewables S.A. (ELI:EDPR) experienced a notable uptick on Monday, with shares climbing 2.21% to €13.43 by 3:07 p.m. WEST. This performance outpaced the broader Lisbon PSI index, which gained only 0.45% during the same period. Despite this relative strength, the stock remains €1.24, or 8.45%, below its 52-week high of €14.67, suggesting that Monday's move is more of a rebound than a breakout.

The uptick comes without any new corporate announcements from EDPR, as its latest public notification still dates back to July 31. Investors are instead focusing on the company's strategic divestment in Brazil, a deal that was signed on May 19 and is expected to close in the fourth quarter. This transaction is pivotal for EDPR's balance sheet and future earnings trajectory.

Brazil Disposal: A Strategic Shift

EDPR has agreed to sell its Brazilian operations to EDP Brasil, a wholly owned subsidiary of its majority shareholder EDP S.A. The deal, valued at approximately R$4.1 billion for equity and an enterprise value near €1.5 billion, is a related-party transaction that has drawn scrutiny. EDP holds a 71.4% stake in EDPR following a June share increase, leaving about 28.6% owned by outside investors. Independent advisers have provided fairness opinions, according to the May transaction notice.

The Brazilian assets include an installed capacity of roughly 1.8 GW, though the company's July results slides rounded this to 1.7 GW. Management expects the sale to reduce 2027 EBITDA by about €100 million, but improve net income by €20 million and cut net debt by €1.5 billion. These figures imply a valuation of approximately 15 times EBITDA for the disposed business, a favorable multiple that should bolster EDPR's financial position.

Cash Flow and Debt Reduction

As of the end of June, EDPR reported net debt of €8.7 billion, up from €8.1 billion in December, primarily due to growth investments. However, the company anticipates that asset sales and tax-equity proceeds will be weighted toward the second half of the year. CEO Miguel Stilwell d’Andrade noted that €600 million of the Brazil benefit was already reflected in June's figures through consolidation treatment, with the remaining impact dependent on the deal's closing later this year.

Management maintains its year-end net debt guidance of below €8 billion, a target that hinges on the timely completion of the Brazil sale. A delayed close could increase funding pressure, while a successful completion would validate EDPR's portfolio-recycling strategy.

Earnings Quality and Guidance

In the first half of the year, EDPR reported recurring EBITDA of €1.033 billion, an 8% increase year-over-year, and recurring net profit of €183 million, up 33%. However, underlying profit excluding asset-rotation gains was €117 million, broadly flat after currency adjustments. The company raised its 2026 recurring EBITDA guidance to €2.2 billion–€2.3 billion, with approximately €300 million expected from asset-rotation gains. Stilwell d’Andrade expressed “very good confidence and visibility” on these gains.

Despite this optimism, the underlying operating performance is improving more slowly. Generation rose 4% in the half, but electricity sales fell 2%, impacted by lower European power prices and a weaker dollar. These figures highlight the challenges EDPR faces in a volatile energy market.

Valuation and Market Outlook

Stock Analysis listed a forward price-to-earnings ratio of 28.29 for EDPR, based on S&P Global data. The average analyst target of €14.86 implies about 10.6% upside from Monday's closing price. Jefferies maintained a buy rating with a €16.80 target, reflecting optimism about the debt reduction and strategic focus.

The next critical checkpoint is the nine-month update on November 5, where investors will watch net debt, the Brazil closing timetable, and underlying profit without rotation gains. These indicators will determine whether Monday's relative strength is a sign of early recognition or merely a positive session in a challenging environment.
