Keel Infrastructure (NASDAQ:KEEL) witnessed a sharp 27% surge in its stock price on Thursday, following the public disclosure of a significant stake by investment giant BlackRock Inc. (NYSE:BLK). However, market participants noted that the filing, which revealed BlackRock's 8.4% ownership position, was actually dated June 30, raising questions about the timing of the market's reaction.

Keel's shares closed the session at $4.05, up 27.4%, and continued to climb in premarket trading on Friday, reaching $4.33. The surge came amid a broader rally in AI-focused infrastructure stocks, with Keel outperforming many of its peers. The company is scheduled to release its second-quarter earnings on August 10.

BlackRock's Disclosure

According to the SEC filing, BlackRock holds 50.95 million shares of Keel, representing 8.4% of the outstanding class. The ownership event was recorded as June 30, which was just a day after Keel was added to the Russell 3000 index. BlackRock submitted the filing under Rule 13d-1(b), indicating that the stake was acquired in the ordinary course of business and not with the intention to influence Keel's control.

The filing did not specify particular funds or exact purchase timings, leaving room for speculation. While index-based accumulation is a possibility, this remains an assumption. In June, Keel's CEO Ben Gagnon had described the Russell inclusion as a “meaningful milestone.”

Market Reaction and Valuation

An initial estimate suggests that Thursday's increase in Keel's equity value amounted to approximately $525 million, which is about 2.5 times the closing value of BlackRock's reported holding. The stake, valued at $4.05 per share, was worth around $206 million. The disparity between the reported stake and the market's response indicates that other factors may have contributed to the rally.

The broader AI infrastructure sector saw significant gains on Thursday. Companies like IREN Ltd. (NASDAQ:IREN) rose 30.5%, Cipher Digital Inc. (NASDAQ:CIFR) gained 28.1%, and Hut 8 Corp. (NASDAQ:HUT) advanced 22.8%. Keel's 27.6% increase was above the median of its six peers by 5.9 percentage points, suggesting that the BlackRock disclosure alone does not fully explain the move.

Sector-Wide Rally

Microsoft Corp. (NASDAQ:MSFT) played a key role in shaping market sentiment, as its shares climbed over 15% following an improved cloud forecast. The Nasdaq advanced 2.8%, and the PHLX chip index surged 8.2%. Argent Capital portfolio manager Jed Ellerbroek described AI-related stocks as “true battleground stocks,” reflecting the heightened volatility and investor interest in the sector.

Keel's shares have shown significant swings recently. The stock had advanced 7.8% over the prior full week but fell 4.9% between last Friday and Thursday, even after Thursday's jump. Trading volume on Thursday was 66.3 million shares, a 48% increase from the stock's 65-day average volume.

Fundamentals and Financing

Despite the rally, Keel's fundamentals remain soft amid its transition. First-quarter revenue declined 23% to $37 million, with adjusted EBITDA at negative $17 million. The company had liquidity of $533 million as of May. In June, Keel finalized a $458 million offering of convertible notes with a 1.25% interest rate, maturing in 2032, and an initial conversion price of $7.41.

An initial share-equivalent estimate suggests the notes could convert into approximately 61.8 million shares, representing 10.2% of currently disclosed shares. The final dilution will depend on settlement methods and the extent of capped-call protection, which is designed to limit dilution up to $11.86 per share.

Outlook and Risks

Keel is set to announce its second-quarter results on August 10 before markets open. Investors will be closely watching for updates on lease execution across the company's 2.2-gigawatt pipeline. However, risks remain, including the need to convert development sites into formal AI lease agreements. Any setbacks, such as project delays, unplanned expenses, Bitcoin price swings, or shareholder dilution, could quickly halt the stock's advance.
