Marvell Technology (NASDAQ:MRVL) has announced a definitive agreement to acquire Lumentum (NASDAQ:LITE) in an all-stock transaction that places an enterprise value of $115 billion on the optical components maker. The deal, disclosed on Monday, represents a significant consolidation in the semiconductor and optical networking space.
Based on Lumentum's fiscal first-quarter results released the same day, the acquisition price equates to 22.8 times the company's annualized revenue of $5.05 billion. However, when applying Lumentum's second-quarter revenue guidance midpoint of $1.6 billion—which implies an annualized pace of $6.4 billion—the multiple drops to 18.0 times sales. This discrepancy underscores the market's expectation of continued rapid growth at Lumentum.
Deal Terms and Structure
Under the terms of the merger agreement, Lumentum shareholders will receive 4.500 Marvell shares for each Lumentum share, with cash paid for fractional shares. Based on Marvell's reference stock price as of late October, the deal values each Lumentum share at approximately $1,132, representing a 23.9% premium to the unaffected price. Upon closing, Marvell shareholders are expected to own about 67% of the combined company, with Lumentum holders owning the remaining 33%.
The transaction is subject to approval by both companies' shareholders, regulatory clearances, and the effectiveness of a Form S-4 registration statement. The companies anticipate closing in the first half of 2028. Marvell's stock price will directly influence the value of the consideration, as each $10 change in Marvell's share price alters the per-share value by $45.
Strategic Rationale
The combination brings together Marvell's semiconductor and interconnect expertise with Lumentum's laser and optical systems, creating a vertically integrated player in high-speed data communications. Lumentum's recent growth has been driven by demand for pump lasers and optical circuit switches, with the company securing a second major NPO/CPO win during the quarter, backed by purchase commitments exceeding $5 billion.
CEO Michael Hurlston highlighted the company's momentum, noting that revenue for the September quarter reached $1.2626 billion, a 25.5% sequential increase and a 136.5% year-over-year surge. The company's guidance for the current quarter calls for revenue between $1.575 billion and $1.625 billion, which would require an additional sequential growth of up to 26.7%.
Market Implications
The acquisition intensifies competition with Broadcom (AVGO), which has been a dominant force in networking chips. Yahoo Finance reporter Ines Ferré independently confirmed the deal's announcement and the competitive landscape. The transaction also exposes Lumentum shareholders to Marvell's share price volatility, as the stock consideration is not fixed in dollar terms.
Marvell separately reaffirmed its preliminary fiscal third-quarter revenue outlook, narrowing its expected range to plus or minus 2% from 5%. The company kept its midpoint unchanged, indicating confidence in its own growth trajectory.
Risks and Outlook
Regulatory review could delay or block the completion of the deal, leaving both companies to operate independently. Lumentum must also scale up production to meet its aggressive revenue targets while the acquisition awaits shareholder and regulatory decisions. The low end of Lumentum's second-quarter guidance still requires 24.7% sequential growth, a tall order that will test the company's operational capabilities.
Investors will be watching closely as the deal progresses through the approval process, with the final value of the consideration tied to Marvell's stock performance. The merger is poised to reshape the optical networking industry, but its success hinges on execution and market conditions.
