PDS Biotechnology Corporation (NASDAQ:PDSB) has agreed to channel all net proceeds from new equity or equity-linked financings outside its existing at-the-market (ATM) program directly to its lender until a $6 million promissory note is fully repaid. The amendment, disclosed in a Form 8-K filed after Friday's market close, further constrains the clinical-stage biotech's ability to fund operations amid a severe cash shortage.
As of June 30, PDS held just $5.6 million in cash and equivalents against negative working capital of $5.3 million. Its market capitalization stands at approximately $12.3 million, reflecting a dramatic decline following the company's strategic pivot away from its lead Phase 3 trial. The stock closed at $0.22 on September 4, unchanged on the day, and inched up 2.2% to $0.2248 in after-hours trading. Shares have lost nearly 70% since August 5, when the company announced a strategic reset that included discontinuing internal funding for the VERSATILE-003 trial.
Lender Priority on New Equity Cash
Under the amended note agreement, dated August 31, any net cash proceeds from a new equity or equity-linked financing outside the ATM must be remitted to the holder within five business days. The funds will first cover accrued interest, with any remainder applied to principal. Only after the note is fully repaid or another funding source is secured would PDS regain access to operational cash from such deals.
The ATM route offers slightly more flexibility but remains restrictive. Proceeds from ATM share sales must first satisfy the next monthly installment and accrued interest. Any excess cash is split with the lender retaining 60% while PDS may keep 40%. The company is required to report ATM receipts weekly and remit the applicable amount one business day later.
Balance Sheet Under Pressure
PDS's financial position has deteriorated sharply. The company used $7.16 million in cash for operations during the first half of 2026, down from $18.13 million a year earlier, but financing activities consumed $14.0 million largely due to repayment of older debt. At the end of June, current liabilities of $12.38 million exceeded current assets of $7.05 million, leaving a $5.33 million working capital deficit. Management has expressed substantial doubt about the company's ability to continue as a going concern for the next twelve months.
The original $6 million promissory note carried a 10% annual interest rate and matures on June 15, 2027. PDS received $5.76 million in gross proceeds and issued a warrant for approximately 2.16 million shares. The company's cash position at June 30 already included these loan proceeds.
Strategic Shift and Pipeline Outlook
PDS has shifted its clinical focus to PDS0301, a tumor-targeted IL-12 drug candidate, after halting internal investment in PDS0101 and discontinuing the VERSATILE-003 trial. The company hopes to find a partner to fund further development of that program. Early data from a small NCI study showed responses in seven of nine patients, compared with seven of 20 in a parallel trial without PDS0301. These preliminary results are from tiny, non-randomized cohorts and do not establish survival benefit in a controlled setting.
Advancing PDS0301 will require substantial additional capital. The company's ability to raise funds is severely constrained by the lender amendment, which gives the note holder priority over all new non-ATM equity proceeds. The stock's depressed price means any equity issuance would be highly dilutive to existing shareholders.
Nasdaq Compliance and Risks
The amendment includes a concession: the Nasdaq listing-deficiency cure period has been extended to 180 days from 75 days. However, the amendment only becomes effective after PDS pays its September 14 installment in full. The filing does not disclose the amount of that installment, and no waivers of any defaults were granted. The lender expressly demanded strict compliance with the existing note.
Risks remain elevated. PDS may be forced to issue shares at deeply depressed prices, leading to heavy dilution. The lender can accelerate repayment following specified defaults. The Nasdaq deficiency remains unresolved, and the amendment is conditional on the September 14 payment. PDS0301 may fail in larger trials or prove too costly to advance. Investors should monitor the company's cash runway and ability to secure alternative financing.
