Realty Income Corporation (NYSE: O) has successfully priced a $1 billion convertible notes offering, a move that analysts say creates a significant annual carry advantage of approximately $28 million. The transaction, completed on Friday, August 15, 2026, is designed to fund expansion while minimizing near-term equity dilution, according to deal terms reviewed by Reuters.

The notes carry a 3.75% coupon and an initial conversion price of $72.72 per share, representing a 15.9% premium over Friday's closing price of $62.74. The company also entered into capped call transactions, which mitigate dilution up to a cap of $83.55 per share. Approximately 13.75 million shares are tied to the notes, equating to 1.5% of the diluted share count for the second quarter.

Net proceeds from the offering totaled $981.9 million after fees and discounts. Of that amount, $33.2 million was allocated to the capped calls, and $188.7 million was used to repurchase roughly 3 million shares. The remaining $760 million is earmarked for debt repayment, property investments, or other corporate purposes.

The carry calculation is based on Realty Income's second-quarter cash yield of 7.3%. If the full net proceeds were invested at that yield, they would generate approximately $55.5 million in annual income. Interest on the notes amounts to $37.5 million per year, while the share buyback reduces dividend payouts by about $9.8 million annually. This results in a preliminary annual carry cushion of roughly $27.7 million, before taxes, transaction timing, and other expenses.

The offering comes on the heels of improved operating performance. Second-quarter revenue rose 9.7% year-over-year to $1.548 billion, while adjusted funds from operations (AFFO) increased 3.8% to $1.09 per share. Portfolio occupancy stood at 98.8%, up 20 basis points from the prior year. Same-store rental revenue grew 1.2% to $1.169 billion.

Chief Executive Sumit Roy highlighted the company's disciplined capital allocation, noting $2.6 billion in investments during the quarter, with the company's pro-rata share at $2.1 billion. Realty Income also raised its 2026 AFFO guidance midpoint to $4.445 per share from $4.425, and increased its investment guidance to $10 billion from $9.5 billion.

The market reaction has been modestly positive. Realty Income shares rose 0.4% over the past week, outperforming peers such as NNN REIT (NYSE: NNN), W. P. Carey (NYSE: WPC), and Agree Realty (NYSE: ADC), which all declined. The 10-year Treasury yield climbed 3.6 basis points to 4.696% during the same period.

Analysts remain cautiously optimistic. Barclays, Huntington, Wells Fargo, Cantor Fitzgerald, and Scotiabank have issued ratings ranging from Hold to Buy, with price targets between $65 and $70. The S&P Global consensus price target is $68.16, implying an 8.6% upside from Friday's close.

Investors will be watching the conversion threshold, Treasury yields, and how the company deploys the remaining proceeds. If investment yields remain above the coupon rate, the carry thesis is supported. However, risks include declining investment yields, property vacancies, tenant defaults, and rising interest rates that could impact valuations. A rally above the capped-call range would also increase dilution risk.
