Archer Aviation Inc. (NYSE: ACHR) shares extended their rally on Tuesday, climbing 4.9% to $6.56 by 10:16 a.m. EDT, following a 12% surge in the previous session. The upward momentum comes after the company announced a definitive agreement to acquire three business units from Boeing: Wisk Aero, Insitu, and SkyGrid.

The transaction, expected to close by the end of 2026, marks a strategic pivot for Archer, which has primarily focused on developing electric vertical takeoff and landing (eVTOL) aircraft for urban air mobility. The acquisition brings a diversified portfolio that includes defense-grade unmanned aircraft, autonomous flight technology, and airspace management software.

Revenue Transformation

The most significant financial impact is the immediate addition of a substantial revenue stream. Insitu, a manufacturer of uncrewed military aircraft and support services, generates more than $200 million in annual revenue and operates profitably. This stands in stark contrast to Archer's reported revenue of just $0.3 million for the entire year of 2025, making Insitu's yearly revenue at least 667 times greater than Archer's total 2025 figure.

Adam Goldstein, Archer's founder and CEO, emphasized the strategic importance: "We gain the ability to start generating significant revenue immediately in a major growth market." This move allows Archer to diversify beyond its core air taxi ambitions and establish a foothold in the defense and autonomous systems sectors.

Deal Structure and Governance

Under the terms of the agreement, Boeing will receive shares representing 19.75% of Archer's pre-closing Class A common stock, along with warrants for additional shares and the right to nominate one member to Archer's board of directors. The cash consideration was not disclosed, leaving investors to speculate on the financial impact.

The inclusion of Wisk Aero, which specializes in autonomous passenger eVTOL technology, and SkyGrid, an airspace software provider, enhances Archer's autonomous flight capabilities. Archer already operates Zee, an aviation intelligence platform that aggregates data from over 6,000 ADS-B receivers. Goldstein noted, "We are building an intelligence layer for the entire aviation system with Zee."

Market Reaction and Peer Comparison

Market movements were mixed among Archer's peers. Joby Aviation (NYSE: JOBY) declined 0.1% on Monday, while BETA Technologies (NYSE: BETA) rose 2.3%. Boeing (NYSE: BA) edged up 0.1%. Archer's shares traded in a range of $5.94 to $6.87 on Tuesday morning.

Analyst Sentiment

Analysts have responded positively to the deal, with several issuing new price targets. Cantor Fitzgerald's Andres Sheppard reiterated a Buy rating with a $11 target, while H.C. Wainwright's Amit Dayal maintained a Buy with a $18 target. Needham's Chris Pierce also rated Buy with a $9 target. Of five analysts surveyed, four recommend Buy and one rates Hold, with price targets ranging from $8 to $18 and an average of $11.60.

Risks and Outlook

Despite the optimism, material risks remain. Archer faces the challenge of integrating three distinct businesses, securing funding for certification and manufacturing, and managing potential dilution from warrant exercises. The transaction's success hinges on regulatory approvals and execution.

Investors will be closely monitoring the undisclosed cash payment, warrant conditions, and post-deal funding strategy to determine if the $200 million revenue stream justifies the equity cost. The deal represents a significant shift in Archer's business model, positioning it as a multi-faceted aerospace company rather than a pure-play air taxi developer.
