Celularity Inc. (NASDAQ: CELU) experienced a dramatic surge in its stock price on Thursday, climbing more than 120% after the company announced a potential manufacturing partnership with MuseCell Innovations. The stock was trading at $1.94 by midday, up 120.4%, with volume reaching 151.3 million shares—more than eight times the estimated public float of approximately 18.2 million shares.

The rally added roughly $28 million to Celularity's market capitalization, bringing it to $51.4 million. This valuation is still far below the potential revenue stream outlined by MuseCell, which projects purchases exceeding $300 million over a five-year period. That figure would represent an annual average of over $60 million, more than double Celularity's 2025 revenue of $26.6 million.

According to the joint announcement, Celularity will establish U.S. production for Dezawa MuseCells at its Florham Park, New Jersey facility, along with MuseCell-derived exosomes and secretome products. The initial phase focuses on technology transfer and manufacturing qualification, with the broader relationship contingent on several factors.

"The $300 million estimate is not a binding purchase commitment," the companies cautioned. It depends on successful qualification, market demand, product mix, pricing, and further collaboration. This non-binding nature introduces significant uncertainty, as actual orders could vary sharply from projections.

Celularity's facility, spanning 147,215 square feet, includes nine Grade C/ISO 7 suites and six Grade D/ISO 8 suites, according to company descriptions. CEO Robert Hariri emphasized that the infrastructure "can also support innovative third-party technologies," positioning Celularity to monetize its manufacturing capacity alongside its own cell-therapy programs.

However, the company's financial situation remains precarious. Celularity ended 2025 with just $6.2 million in cash and reported a net loss of $91.7 million for the year. The potential manufacturing revenue could provide a much-needed lifeline, but execution risks are substantial.

Adding to the concerns, Celularity has not filed its quarterly reports for March or June. Nasdaq has requested a compliance plan by September 4, according to a company notice dated August 25. This reporting gap raises red flags for investors, as delayed filings can indicate deeper financial or operational issues.

Analyst coverage is thin, with only two tracked ratings—one buy and one sell—and a consensus price target of $6, based on a very small sample. The target implies significant upside, but the lack of coverage limits the reliability of such estimates.

Furthermore, neither MuseCell's products nor Celularity's cenplacel-L have received FDA approval. Manufacturing processes still require transfer, qualification, and validation before any revenue can be realized. The stock's surge reflects market enthusiasm, but investors will need to see concrete progress toward recurring, collectible revenue rather than relying on headline estimates.
