Cipher Digital Inc. (NASDAQ: CIFR) saw its shares climb 7.4% on Friday, closing at $17.855, following the disclosure that Morgan Stanley (NYSE: MS) holds a 6.3% beneficial ownership stake in the company. The move came with trading volume surging to 36.24 million shares, a 31% increase over the three-month average, underscoring heightened investor interest.
The catalyst was a 13G filing submitted Thursday, revealing that Morgan Stanley's reporting entities held 26.28 million shares of Cipher as of June 30. The filing indicates the securities were acquired in the ordinary course of business, not as part of an activist campaign. For a company in the midst of a costly strategic pivot, this institutional vote of confidence carries significant weight.
Transition from Bitcoin Mining to AI Data Centers
Cipher Digital is undergoing a major transformation, shifting from bitcoin mining to leasing out AI data centers. This transition requires substantial capital investment, and the company is currently in the early stages. In the second quarter of 2026, revenue fell 43.1% year-over-year to $24.8 million, entirely from bitcoin mining, as no high-performance computing (HPC) lease agreements were active before June 30. The company reported a net loss of $267.5 million, a significant widening from the $45.8 million loss in the same period last year, with diluted loss per share increasing to $0.65 from $0.12.
Despite these challenges, the transition is gaining momentum. In August, CEO Tyler Page announced that initial capacity at the Black Pearl facility was brought online ahead of schedule, with rental income beginning to flow. Barber Lake has achieved partial occupancy, and the Stingray project remains on track.
Capital Intensity and Project Financing
The capital requirements are substantial. As of June 30, Cipher had $2.17 billion in supplier commitments, with cash and equivalents of $831.8 million. Restricted cash totaled $3.73 billion, primarily earmarked for project financing. This structure reduces funding pressure at the parent level but makes meeting delivery milestones critical. The $810 million in Stingray secured notes carry a 6% coupon, maturing in 2031, with principal payments beginning only after the facility is completed.
Wall Street Sentiment and Analyst Targets
Wall Street remains bullish on Cipher's long-term prospects, though forecasts vary widely due to uncertainties around construction costs, delivery schedules, and future rental income. The five most recent analyst targets range from $30 to $47, representing potential upside of 68% to 163% from Friday's closing price. Notably, Morgan Stanley itself rates the stock Overweight with a $47 target, implying 163% upside.
Overall, sixteen analysts tracked by S&P Global maintain a Strong Buy consensus with an average price target of $32.63, suggesting an 82.7% potential increase. However, these projections are not guarantees.
Risks and Outlook
Key risks include the need to complete multiple major projects on time and within budget. Any delays or service failures could trigger tenant remedies. The company continues to operate at a loss, and further share issuance could dilute existing shareholders. Investors will be watching for continued momentum next week, though no company events are scheduled. A stronger indicator will be confirmation that August rental income begins to generate steady cash flow from construction spending.
