The decline retraced a portion of the dramatic gains from the previous day, when the stock soared 74.9% to close at $1.52 following the announcement of its acquisition of I-FLATZ, an Osaka-based real estate firm.

The volatile price action underscores investor caution amid the lack of financial details surrounding the deal. LogProstyle's agreement to acquire all 3,800 issued shares of I-FLATZ was disclosed on Thursday, but the company did not reveal the purchase price or provide financial metrics for the target, leaving shareholders in the dark regarding the transaction's valuation and potential impact on earnings.

Despite the retreat, the stock remained approximately 21.8% above Wednesday's closing price of $0.87. The two-day swing reflects the market's initial enthusiasm for the strategic expansion, tempered by concerns over the undisclosed terms and the company's already notable leverage.

Strategic Expansion into Kansai

The acquisition of I-FLATZ marks a significant geographic expansion for LogProstyle, which has historically derived its revenue entirely from the greater Tokyo area. I-FLATZ specializes in new condominium sales for developers in Osaka and Kyoto, as well as resale of renovated residences and property leasing. The deal will also bring I-FLATZ's subsidiary, LAND-I, under LogProstyle's umbrella.

This move into the Kansai region diversifies LogProstyle's revenue base, which had been heavily concentrated in Tokyo. For the fiscal year 2026, real estate operations in Tokyo accounted for ¥20.6 billion of the company's total ¥22.2 billion in revenue. A successful integration of I-FLATZ could mitigate this geographic concentration risk.

Financial Health and Leverage Concerns

LogProstyle's latest financial results showed moderate growth. Fiscal 2026 revenue rose 7.6% to ¥22.22 billion, while operating income climbed 17.1% to ¥1.57 billion, improving the operating margin to 7.1% from 6.5%. Adjusted EBITDA increased 10.6% to ¥1.64 billion, and net income edged up just 0.8% to ¥760 million.

However, operating cash flow turned negative, impacted by higher inventories and tax outflows. The company's balance sheet carries significant debt: short-term borrowings of ¥1.61 billion and long-term borrowings of ¥15.54 billion as of March 31, against cash and equivalents of ¥2.28 billion. This leverage could be strained if the I-FLATZ acquisition requires additional financing, especially given the undisclosed consideration.

The absence of key financial data—such as I-FLATZ's revenue, profit, assets, and liabilities—prevents investors from calculating the acquisition multiple or assessing earnings accretion.
