Marvell Technology (NASDAQ: MRVL) saw its shares climb 4.8% on Tuesday, closing at $240.38, as investors positioned ahead of the company's fiscal second-quarter earnings report due Thursday after the market close. The rally followed price target increases from two Wall Street analysts, reflecting optimism about the company's AI-driven growth prospects and its recently announced partnership with Google (NASDAQ: GOOGL).

Analyst Actions and Price Targets

Susquehanna raised its price target on Marvell to $265 from $230, reiterating a Positive rating, while Rosenblatt lifted its target to $300 from $240, maintaining a Buy stance. These new targets imply potential upside of 10.2% and 24.8%, respectively, from Tuesday's close. The analyst consensus stands at $267.82, with 44 analysts assigning a Strong Buy rating, according to S&P Global data.

Google Deal and Warrant Structure

The stock's advance is closely tied to Marvell's expanded partnership with Google, which involves custom AI accelerators, networking chips, and storage controllers. As part of the agreement, Marvell granted Google a warrant to purchase 58.97 million shares at $206.58 per share, a 14.1% discount to Tuesday's closing price. The warrant vests in tranches tied to qualifying revenue from Google, with each $500 million in sales triggering the vesting of a portion. The maximum vesting threshold is $120 billion in cumulative revenue, which represents 14.6 times Marvell's projected fiscal 2026 revenue.

Analysts note that the $120 billion figure is not guaranteed revenue but a ceiling that would require sustained annual purchases of roughly $18.5 billion over six and a half years—about 2.3 times the company's total sales last year. The warrant represents 6.7% of Marvell's outstanding shares, and full exercise would generate approximately $12.2 billion in cash but also dilute existing shareholders.

Earnings Expectations and Market Sentiment

For the fiscal second quarter, Marvell guided revenue of $2.7 billion, plus or minus 5%, and adjusted earnings per share of $0.93, within five cents. Analysts project revenue around $2.71 billion. Options markets are pricing in a post-earnings move of roughly 10%, which translates to a range of about $216 to $264 based on Tuesday's close—equating to a potential market value swing of $21 billion.

The company's first-quarter results showed revenue of $2.42 billion, up 28% year over year, with data-center revenue of $1.83 billion accounting for 76% of total sales. The stock has surged 182.9% year-to-date, trading at approximately 82 times trailing earnings, reflecting high growth expectations.

Risks and Outlook

Despite the bullish sentiment, risks remain. Reduced Google purchases could delay warrant vesting and revenue recognition. Competition from Broadcom (NASDAQ: AVGO) in custom AI chips, softer data-center margins, or a broader tech selloff could pressure the stock. Investors will scrutinize the company's fiscal third-quarter outlook, with consensus projecting $3.03 billion in revenue.

Marvell's earnings call is scheduled for 4:45 p.m. EDT Thursday, where management will provide further color on the Google partnership and demand trends in AI infrastructure.
