Ondas Holdings Inc. has concluded a significant strategic expansion this month, solidifying its position in the defense technology sector through a series of acquisitions. The company announced on Monday the completion of its takeover of Rotron Aerospace, a United Kingdom-based firm specializing in vertical takeoff and landing (VTOL) aircraft and long-range unmanned platforms. The transaction was valued at approximately $6.7 million in cash plus an issuance of 3.33 million shares of Ondas stock.

Strategic Expansion and Full Control of 4M Defense

In a separate but concurrent move, Ondas disclosed it has acquired the remaining 30% stake in the parent company of its Israeli subsidiary, 4M Defense. The company paid 352,968 of its own shares, plus potential additional earn-out shares valued up to $1.4 million, to gain full ownership. This unit recently secured a starter order worth $15.8 million as part of Israel's border demining efforts, a contract with a potential total value reaching $60 million.

Chief Executive Eric Brock characterized the Rotron acquisition as a critical step in building the company's integrated autonomous systems platform. The deal provides Ondas with an industrial base in the UK and key technologies in propulsion and long-range drone systems. Gilo Cardozo, founder and Chief Technology Officer of Rotron, stated the combination presents a significant opportunity to scale its aircraft technology across a larger operational platform.

Financial Performance and Projections

Amidst this flurry of deal-making, Ondas provided updated financial projections. The company reported that its preliminary revenue for 2025 is expected to surpass previous guidance. For the fourth quarter, revenue is anticipated to be between $29.1 million and $30.1 million, exceeding earlier outlooks. Full-year 2025 revenue is projected to land in the range of $49.7 million to $50.7 million.

Despite the positive revenue revision, the company still forecasts a substantial net loss for 2025, estimated between $52.8 million and $53.3 million. Ondas has reaffirmed its longer-term revenue target of $170 million to $180 million for 2026, excluding contributions from any future, unannounced transactions. The company will provide a formal financial update, including the impact of the Rotron acquisition, during its earnings call scheduled for March 25.

A Busy March of Defense Tech Consolidation

The Rotron and 4M deals cap an exceptionally active period for Ondas. Earlier in March, the company entered into a $175 million all-stock agreement to acquire U.S. defense contractor Mistral on March 8. This was followed by the acquisition of Israel's BIRD Aerosystems on March 11. BIRD's protection and intelligence, surveillance, and reconnaissance (ISR) technology is reportedly deployed on over 700 aircraft across more than 40 different models.

Further expanding its strategic partnerships, Ondas announced a collaboration on March 12 with Palantir Technologies and World View Enterprises to develop advanced ISR systems utilizing stratospheric balloons, aircraft, and ground-based setups. This series of moves is part of a broader effort by Ondas to assemble a comprehensive defense and security platform combining drone, robotics, and counter-drone technologies.

Broader Market Context

Ondas's aggressive acquisition strategy reflects a wider acceleration of consolidation within the defense technology landscape, particularly in unmanned and autonomous systems. This trend is driven by increasing military budgets and a strategic shift toward more precise, lower-cost unmanned platforms. In a related development, AeroVironment announced on the same Monday its plan to acquire engineering firm ESAero for roughly $200 million.

The market's rapid evolution was further highlighted last month when Kratos Defense & Security Solutions revealed it had conducted a test of a jet-powered attack drone in collaboration with Taiwan. Ondas is strategically positioning itself with operational footprints now spanning the United States, Israel, and the United Kingdom, utilizing its stock as a key currency for these strategic transactions.
