Ondas Holdings Inc. The company's guidance suggests a 74% sequential surge in Q4 revenue, a figure that has left investors weighing the feasibility of such a rapid ramp against the company's current valuation.
The stock closed Tuesday's regular session at $7.04, down 8.0%, and continued to drift lower in premarket trading, reaching $7.00 by 06:31 EDT on Wednesday, a further 0.6% dip. This decline extends a three-session losing streak, with the shares now down 19.5% from their August 27 closing price.
Guidance Points to Steep Climb
Ondas' 2026 outlook projects fourth-quarter revenue in the range of $236.1 million to $276.1 million, with a midpoint of approximately $256.1 million. This figure represents a 73.6% sequential increase over the third-quarter guidance midpoint of $147.5 million and a 74% jump from the third-quarter midpoint. The company's full-year target has been raised to $525 million-$550 million, according to its Q2 release.
The implied revenue trajectory is steep, especially given that Q2 revenue came in at $83.8 million, a 67% quarter-over-quarter increase. However, the company's GAAP gross margin contracted to 43.1% from 49.2% in the prior quarter, a decline attributed to amortization from acquired operations.
Valuation Concerns Persist
As of Tuesday's close, Ondas had a market capitalization of $4.02 billion, which equates to roughly 7.5 times the midpoint of its 2026 revenue guidance and 5.3 times its pro forma backlog of $757 million. This elevated multiple underscores the market's high expectations for the company's growth trajectory.
The company's cash position is notable: it held $1.4 billion in cash as of June 30, subsequently spending around $325 million on acquisitions of DZYNE and Cyberhawk, leaving approximately $1.08 billion before other Q3 cash movements. The pro forma backlog, including these acquisitions, stood at $757 million, with $105 million in orders disclosed for Q3 as of August 10.
Costs and Operational Challenges
Despite the revenue growth, Ondas continues to face significant cost pressures. Adjusted cash operating costs totaled $93.3 million in Q2, while the company reported an adjusted EBITDA loss of $50.6 million. CEO Eric Brock has expressed confidence in "another significant revenue ramp" in the second half, but the path to profitability remains unclear.
The company's ability to convert its backlog into revenue will be critical. With a gross margin of 43.1%, operating leverage may be delayed, but faster delivery schedules could make the current valuation multiple appear more reasonable.
Market Reaction and Outlook
The recent share price decline reflects investor skepticism about the feasibility of the Q4 target. The company's August 28 prospectus, which registered 99,105 shares linked to acquisitions for resale (just 0.017% of total shares outstanding), is not seen as a primary driver of the drop.
Trading volume was substantial on Tuesday, with approximately 68.5 million shares changing hands. The stock's trajectory from $8.22 on August 26 to $7.04 by September 1 indicates a clear market reset.
As the company heads into the third quarter, the key test will be landing within its Q3 revenue range of $140 million to $155 million, followed by a rapid acceleration in Q4. Any deviation from this path could trigger further volatility in the stock.
