Rani Therapeutics Holdings, Inc. (NASDAQ:RANI) experienced a significant surge on Wednesday, with shares climbing 29.4% to close at $0.89. The rally brought the stock closer to compliance with Nasdaq's $1 minimum bid requirement, reducing the deficit to approximately 11%. This marks a notable improvement from Tuesday's close at $0.69, when the stock was roughly 31% below the threshold.
The move was fueled by a combination of insider buying and positive early-stage clinical data. CEO Talat Imran disclosed an open-market purchase of 35,000 shares at an average price of $0.7198, totaling $25,193, according to a Form 4 filing submitted on Tuesday. The acquisition represented approximately 0.6% of Wednesday's trading volume, which reached around 6.2 million shares—7.9 times the average volume over the previous five sessions.
The surge occurred in the absence of any new clinical catalysts, with the most recent operational update being the July 15 announcement of RT-114 results. That news had driven a more modest 4.3% gain to $0.68 on volume of 868,730 shares. The Phase 1a open-label trial enrolled 30 healthy participants who received a single 12-milligram dose. Rani reported that oral RT-114 achieved over 150% of the exposure seen with matched subcutaneous administration, with no serious adverse events observed.
Despite the positive data, the trial did not demonstrate efficacy in weight loss, as it was conducted in healthy subjects rather than obese patients. Rani has initiated a 15-participant cohort ahead of an eight-week repeat-dose study in individuals with obesity, expected to begin in 2026 with results anticipated in 2027.
Wednesday's performance stood out against peers and the broader biotech sector. Structure Therapeutics Inc. (NASDAQ:GPCR) added 2.0%, Entera Bio Ltd. (NASDAQ:ENTX) rose 4.6%, while the SPDR S&P Biotech ETF (NYSEARCA:XBI) dropped 1.5%. The 31-percentage-point gap between RANI and XBI suggests the move was company-specific rather than sector-driven.
Rani faces a critical timeline to meet Nasdaq's listing standards. The company needs its share price to remain above $1 for at least 10 consecutive trading sessions before November 9. A single close above $1 does not restore compliance, making sustained price action essential.
Financially, Rani reported $43.4 million in cash, equivalents, and securities as of March 31. The company subsequently launched an offering expected to raise $20 million in gross proceeds, with shares sold at $1.07 each. Wednesday's closing price of $0.89 remains roughly 17% below that offering price, leaving recent financing investors with holdings underwater.
Risks remain elevated. The company continues to anticipate ongoing losses and states it requires significant additional financing. Delisting from Nasdaq is still a possibility if the stock fails to meet the minimum bid requirement by the deadline.
