SoundHound AI Inc. (NASDAQ:SOUN) shares advanced 4.2% to $6.42 during Monday's trading session, yet the stock continues to trade below the $7 exchange-price floor established in its pending acquisition of LivePerson Inc. (NASDAQ:LPSN). This price gap carries significance ahead of SoundHound's second-quarter earnings report scheduled for August 5.
Preliminary filings with the Securities and Exchange Commission indicate that the combined entity's quarterly revenue would more than double, while the estimated share base would increase by approximately 10%. The arithmetic suggests a potential doubling of revenue per share, but also raises expectations for margin performance and cash utilization.
The transaction employs a 10-day volume-weighted average price mechanism, calculated three trading days before closing. Under this structure, prices below $7 are treated as $7 for exchange purposes, while prices above $12 are capped. Monday's closing price does not directly determine the final exchange ratio.
Based on preliminary estimates, SoundHound expects to issue approximately 42.6 million shares in connection with the deal, representing roughly 10% of its outstanding common shares as of March 31. The SEC's unaudited first-quarter pro forma financials illustrate the trade-off: SoundHound's standalone Q1 revenue of $44.2 million would combine with LivePerson's to reach $101.2 million, a 129% increase. Pro forma gross margin would jump from 31.1% to 51.6%, a 20.5 percentage point improvement, while the operating loss would narrow slightly to $22.3 million from $22.7 million.
On a per-share basis, illustrative Q1 revenue would rise from $0.104 on a standalone basis to $0.216 on a pro forma combined basis, a 108% increase. The most dramatic change is in margin mix, with gross margin expanding sharply even as the operating loss remains near $22 million. These figures remain preliminary and subject to adjustment.
"SoundHound started the year strong with our top line growing 52%," Chief Executive Keyvan Mohajer said in May, when the company reported Q1 revenue of $44.2 million and an adjusted EBITDA loss of $26.7 million. SoundHound has maintained its 2026 revenue outlook of $225 million to $260 million. At Monday's price, the company's market capitalization of $2.76 billion equates to approximately 11.4 times the midpoint of that guidance range, placing a premium on gross margin delivery.
Wall Street consensus expects a Q2 loss of 12 cents per share, compared with a loss of 9 cents in the prior quarter. Of the nine analysts covering the stock, seven rate it a buy and two recommend hold. Monday's gain was not isolated; C3.ai Inc. (NYSE:AI) rose 8.8% and BigBear.ai Holdings Inc. (NYSE:BBAI) added 2.9%, suggesting broader demand across smaller AI software names.
SoundHound will report results after the market close on August 5, with LivePerson shareholders scheduled to vote on the acquisition on August 20. All required foreign investment clearances were received by July 20, though shareholder approval and other conditions remain. Risks include the unaudited nature of pro forma data, LivePerson's recent revenue declines, potential integration delays that could postpone margin improvements, and SoundHound's use of $26.3 million in operating cash during the first quarter.
Investors should focus on organic growth, gross margin trends, and cash burn when the company reports next week. A revenue beat alone will not resolve the per-share economics of the transaction.
