The acquisition of LivePerson involves a 10-day pricing window during which the stock price determines the number of shares issued. The GAAP results included a $39.4 million fair-value gain on acquisition liabilities, a non-cash item that requires careful consideration. The initial accounting consideration of $271.8 million includes shares allocated to resolve LivePerson's debt and equity obligations, not a new cash offer.
