SpaceX Stock Climbs Ahead of Massive Share Unlock

SpaceX (NASDAQ: SPCX) shares advanced on Tuesday, gaining 3.4% to $152.95 in afternoon trading, as investors braced for a significant share unlock scheduled for Wednesday. The company is set to release up to 319.0 million non-affiliate shares from lock-up, representing roughly $48.8 billion at current prices. While an unlock merely permits selling rather than guaranteeing it, the sheer size of the supply could test the stock's near-term momentum.

The unlock is part of a two-step process. The first tranche, comprising up to 319.0 million Class A shares, becomes eligible on September 9, the 90th day after the prospectus date. A second block of up to 59.1 million affiliate-held shares follows on September 10. Combined, these releases total up to 378.1 million shares, about 2.9% of the company's 13.18 billion shares outstanding, and represent approximately $57.8 billion in stock at Tuesday's price.

It's important to note that these are maximum eligible amounts, not predictions of actual selling. The real pressure depends on whether employees and early investors choose to liquidate, whether affiliates meet additional sale conditions, and the level of market demand. Crucially, unlocking shares does not dilute existing shareholders since these shares already exist in the market.

Despite the looming supply, buyers showed up on Tuesday, partly driven by a bullish analyst call. Pivotal Research initiated coverage on SpaceX with a Buy rating and a $220 price target, implying about 44% upside from current levels. Analyst Jeffrey Wlodarczak's thesis hinges on Starship's reusability, arguing that frequent, low-cost launches could transform the economics of Starlink and other space ventures.

Retail interest also remains robust. SpaceX was the top single-stock net buy among Charles Schwab clients in August, according to the broker's strategist, even as overall trading activity declined month-over-month. This suggests a strong retail following that could absorb some of the unlocked supply.

Fundamentally, SpaceX's growth is impressive. The company reported second-quarter revenue of $7.81 billion, up 91.9% year-over-year, driven by Connectivity ($4.29 billion), AI ($2.56 billion), and Space ($962 million). The quarterly net loss narrowed to $541 million from $1.01 billion. However, the company's market capitalization of roughly $2.02 trillion equates to about 64.5 times annualized second-quarter revenue—a steep valuation that leaves little room for execution missteps.

Capital intensity is the sharpest counterweight. SpaceX spent $18.37 billion on capital expenditures in the second quarter, including $15.83 billion in its AI segment. Over the first half, operating cash flow was $3.47 billion while capital expenditures reached $28.48 billion. The IPO helped boost cash and equivalents to $93.52 billion at June 30, so liquidity is not an immediate concern, but the company must eventually convert heavy infrastructure spending into durable cash generation.

Wednesday's trading will provide a near-term test. If SPCX absorbs the eligible shares on heavier volume without giving back Tuesday's gain, it would signal deepening post-IPO demand. A sharp decline would suggest that the limited public float had been propping up the price. Neither outcome, however, will settle the longer-term question of whether Starship can achieve low-cost rapid reuse.

The unlock is therefore the near-term trading test; reuse and capital efficiency remain the investment test. A $220 price target asks investors to look through potentially $57.8 billion of newly eligible two-day supply and a first-half capital bill eight times operating cash flow. At $152.95, SpaceX is already priced for results that look anything but ordinary.
