Teledyne Technologies (NYSE: TDY) has entered into a definitive agreement to acquire Varex Imaging (NASDAQ: VREX) in an all-cash transaction valued at approximately $1.1 billion. Under the terms, Varex shareholders will receive $18.90 per share, a premium of about 52% over the company's closing price on August 7. The offer price represents roughly 1.3 times the midpoint of Varex's fiscal 2026 revenue guidance, which stands at $870 million.
The acquisition is expected to close in early 2027, subject to customary regulatory approvals and the approval of Varex shareholders. The boards of both companies have unanimously approved the transaction.
Strategic Fit and Portfolio Expansion
The deal is a strategic move for Teledyne, which already produces X-ray detectors but lacks Varex's specialized high-radiation devices used in oncology. "While Teledyne produces X-ray detectors, we do not provide detectors suited for high-radiation environments such as oncology, as does Varex," said Robert Mehrabian, Executive Chairman of Teledyne. Varex's product line includes X-ray tubes, digital detectors, and imaging software, serving medical, cargo inspection, and industrial applications.

The enterprise value of approximately $1.1 billion includes Varex's net debt of about $263 million, as reported in its most recent full quarterly filing. Based on the latest diluted share count of 41.9 million shares, the equity value is approximately $792 million. The remaining difference accounts for equity awards and other adjustments.
At 1.3 times the revenue midpoint, the valuation is considered modest for a niche imaging company. However, the premium reflects the strategic value Teledyne sees in Varex's technology and market position.

Shares of Varex surged 48.5% on Monday, closing just below the offer price, a typical reaction that reflects the remaining deal risk. The offer exceeds the most recent price targets from analysts at B. Riley ($18.00), Oppenheimer ($18.00), and Jefferies ($14.50). The average target among five analysts was $18.00, with a range of $12 to $22.
