The current price sits below both reference points outlined in the deal's structure. Under the maximum exchange ratio of 0.3356, each Personalis share would be valued at approximately $14.33 based on Friday's closing price, which is 11.8% below the announced $16.25 per share value. The deal's official benchmark relies on the volume-weighted average price (VWAP) of Tempus shares over the 15 trading days before closing.

Personalis has the option to terminate the agreement only if the pre-closing VWAP falls below $46.00. Friday's spot price of $42.69 is 7.2% below that threshold, though the termination trigger is based on the VWAP, not the spot price. This nuance has become a focal point for investors evaluating the transaction's likelihood of completion.

Tempus retains the flexibility to adjust the consideration by choosing to pay up to 50% in cash, a decision that rests solely with the company. Beyond the merger dynamics, Tempus's operational outlook remains a key consideration. The company has held exclusive distribution rights for Personalis's NeXT Personal residual-disease assay since 2023. During the first quarter, Tempus conducted approximately 6,500 NeXT Personal tests, with volume climbing to about 9,000 in the second quarter, a 38% sequential increase. Currently, only 10% of its sales team focuses on residual-disease products.

Personalis reported preliminary second-quarter revenue of $22.4 million, with clinical test volume increasing 33% quarter-over-quarter to 10,384. Tempus CEO Eric Lefkofsky cited improved reimbursement and Personalis's financial progress as factors driving the acquisition, stating, "We felt now was the right time to pursue a strategic acquisition."

The use of debt would increase leverage, while issuing stock would dilute ownership for Tempus stakeholders.
