UiPath Inc. (NYSE: PATH) saw its shares climb 3.49% over the past week, with indications pointing to an opening price of $12.16 on Tuesday. The uptick comes as investors digest the implications of the company's share repurchase program and a significant stake increase by a passive investor.
According to recent filings, UiPath's Class A share count fell by 16.58 million during the first quarter, while a consortium led by Tetragon Financial Group (AMS: TFG) boosted its holdings by 5.45 million shares. Combined, these moves represent 22.03 million shares, or 4.9% of the Class A shares outstanding as of May 29. This figure highlights the demand side, though it does not reflect the free float.
The timing of these disclosures is notable, as UiPath has not published any corporate statements since June 16. Consequently, the filings have shifted investor focus toward the underlying demand for the stock. UiPath's performance also outpaced key rivals: Appian Corp. (NASDAQ: APPN) gained 1.77% over the same period, while ServiceNow Inc. (NYSE: NOW) dropped 4.38%.
Buyback Details and Financial Position
During the first quarter, UiPath repurchased 20.4 million shares at an average price of $11.47. The net reduction in Class A shares accounted for approximately 81% of total repurchases, with the remainder offset by employee stock issuances and other adjustments. As of mid-May, about $413.8 million remained available for buybacks, which could theoretically purchase 34.0 million shares—7.5% of the Class A total at that time—at the current price of $12.16.
The company spent $243.8 million on share repurchases in Q1, equivalent to 1.9 times its adjusted free cash flow. UiPath ended the quarter with $1.42 billion in cash and marketable securities, providing ample liquidity for continued buybacks.
Operating Performance and Outlook
UiPath's operating metrics showed solid growth. First-quarter revenue rose 17% year over year to $418 million, while annual recurring revenue (ARR) increased 12% to $1.901 billion. GAAP operating income reached $28 million. CEO Daniel Dines noted that agentic products are "moving from pilot to production," and the dollar-based net retention rate stood at 109%.
Looking ahead, UiPath guided for second-quarter revenue between $395 million and $400 million, with the midpoint roughly 5% lower than Q1. The company expects ARR to be between $1.929 billion and $1.934 billion as of July 31. Investors will closely monitor the upcoming ServiceNow earnings report on July 22 for broader trends in enterprise automation and AI spending.
Risks and Considerations
While the buyback and passive investor demand provide short-term support, risks remain. Companies can halt buybacks at any time, and UiPath's Q1 repurchases exceeded its adjusted free cash flow by a factor of 1.9. Additionally, the sequential revenue decline in Q2 guidance suggests potential headwinds. Ultimately, sustained share price advances will depend on continued ARR growth and the successful adoption of new products.
