UiPath Inc. (NYSE: PATH) experienced a sharp selloff on Friday, with shares plummeting 16.63% to $15.19, erasing roughly $1.58 billion in market value. The decline came despite the company reporting quarterly revenue that exceeded management's own forecast. The market's reaction highlights growing concerns about the quality of the company's guidance and the sustainability of its growth trajectory.
Guidance Bridge Reveals Modest H2 Increase
UiPath raised its full-year revenue midpoint by $13.0 million, but a closer look at the numbers reveals that the second-quarter beat accounted for nearly all of that increase. The company's Q2 revenue of $410.26 million was $12.76 million above the old quarterly midpoint, leaving just $244,000 of incremental revenue at the midpoint for the second half of the fiscal year. This 'guidance bridge' calculation, based on UiPath's May outlook and September results, underscores the lack of momentum heading into the back half of the year.
Market Reaction and Pre-Earnings Run-Up
Investors had bid up UiPath shares by 31.8% from August 5 through Thursday, ahead of the earnings release. Friday's drop reversed most of that run, with 104.5 million shares changing hands, about 1.58 times the prior 20-session average. The stock had climbed from $13.82 on August 5 to $18.22 before earnings, then fell to $15.19 on September 4.
Q2 Results: Profitability Improves, But ARR Growth Slows
The quarter itself was profitable. Unaudited revenue rose 13.4% to $410.26 million, while GAAP operating income swung to a positive $31.6 million from a $20.2 million loss a year earlier. Founder and CEO Daniel Dines said "AI is expanding what enterprises can automate," and noted that large accounts are spending more. Customers contributing at least $1 million of annualized renewal run-rate grew 20.9% to 387.
However, the leading indicator of net new annual recurring revenue (ARR) softened, falling to $37 million from $49 million in the first quarter. Total ARR still grew 12%, and dollar-based net retention held at 109%. Gross margin narrowed to 80% from 82%, and adjusted free cash flow declined 31.2% year-over-year to $30.6 million.
Second-Half Outlook: Need for Acceleration
The company's outlook for the second half implies a significant pickup in ARR additions. The third-quarter midpoint suggests $56.5 million of net new ARR, and reaching the full-year midpoint would require another $73 million in the fourth quarter. Revenue is also back-loaded, with the $442.5 million Q3 midpoint leaving about $520.4 million for the final quarter, a 17.6% sequential step that relies on the seasonally strong January quarter.
Capital Allocation and Governance Changes
UiPath has been active in returning capital to shareholders, spending $268.5 million on repurchases during the first half. The quarterly diluted share count fell 3.7% year-over-year, and the company maintains a strong cash position of $1.405 billion. The earnings filing also announced a CFO transition, with Hitesh Ramani replacing Ashim Gupta, who becomes full-time operating chief. Founder Daniel Dines adopted a plan allowing sales of up to five million shares through February.
Analyst Sentiment and Risks
Wall Street's average price target stands at $16.37, only 7.8% above Friday's close. Canaccord's Kingsley Crane downgraded the stock to Hold while raising his target to $17. Key risks include the potential for large contracts to shift ARR and cash between quarters, as well as increased competition from new AI tools. Gross margin has already declined two points year-over-year.
UiPath has demonstrated it can turn slower growth into GAAP profit, but Friday's price action suggests investors are no longer satisfied with that alone. The upcoming September 22 investor day will be crucial for management to articulate a credible path to accelerating ARR growth in the second half, rather than relying on spreadsheet-derived forecasts.
