Serra Verde Transaction Details

Serra Verde is currently producing rare earths in Brazil and aims to reach approximately 6,400 metric tons of oxide production annually by 2027. All output is committed under a 15-year contract with fixed pricing. The acquisition is expected to close by the end of August, with sellers holding around 34% of the combined entity.

Executive Chair Michael Blitzer said the company is “shifting to execution,” signaling a focus on completing the deal and integrating operations.

Market Context and Analyst Views

The broader rare earth sector saw gains on Friday. MP Materials (NYSE: MP) rose 7.6% after reporting better-than-expected quarterly results, with revenue of $108.5 million and adjusted EBITDA of $28.5 million. NdPr sales surged 127% to 1,006 metric tons.

Washington also announced about $3 billion in funding for critical minerals and battery initiatives, though USA Rare Earth was not among the recipients. The company has access to up to $277 million in funding and $1.3 billion in senior loan facilities, subject to milestones.

Analyst Recommendations

Analysts remain bullish on USA Rare Earth. Needham reiterated a Buy rating with a $33 target on July 22, implying 70.7% upside from Friday's close. Roth Capital has a $30 target (55.2% upside), while Cantor Fitzgerald and Wedbush both have $35 targets (81.1% upside).

The average potential gain across these four targets is 55% to 81%, reflecting confidence in the Serra Verde deal and the company's long-term growth prospects.
