Balance-Sheet Strength

Vertiv's balance sheet is well-positioned to fund the deal. As of June 30, the company held $2.81 billion in cash and $0.30 billion in short-term investments, totaling $3.11 billion. The base purchase price of $1.45 billion represents 47% of that liquidity pool. Including the revolver's $2.48 billion availability, total liquidity reaches $5.6 billion, and the merger agreement confirms sufficient cash or credit to close.

Operationally, Vertiv's second-quarter adjusted free cash flow surged 234% year-over-year to $925 million, while quarterly sales grew 24% and adjusted operating margin expanded 410 basis points to 22.6%. These fundamentals underpin the company's ability to absorb integration costs and pursue growth.

Proof Calendar

The transaction is expected to close in the fourth quarter of 2026, subject to customary regulatory approvals. The first EBITDA test will occur 12 months after closing, with the final performance test at 24 months determining the remaining contingent value.

Risks remain measurable: regulatory delays, management distraction, or UIG missing EBITDA targets could dampen returns. However, if customers pay a premium for Vertiv's accelerated power solutions, earnout payments would arrive alongside stronger acquired earnings, creating upside.
