Viking Therapeutics (NASDAQ: VKTX) saw its shares tumble 13.6% to $35.99 in morning trading Thursday after the company priced a $500 million stock-and-convertible-notes offering. The San Diego-based biotech firm announced the pricing of 7.86 million new shares at $35 each, along with $225 million in 2% convertible notes due 2032, with an initial conversion price of $50.75 per share.

The offering, which was upsized from the originally proposed $200 million tranches, is expected to generate net proceeds of approximately $476.2 million. This figure nearly matches the company's June liquidity position of $501.9 million, effectively doubling its cash reserves to an estimated $978.1 million on a pro forma basis.

Funding Clinical Pipeline

The capital infusion comes at a critical time for Viking, which is advancing its lead candidate VK2735, an obesity and metabolic disorder treatment. The company reported first-half operating cash use of $239.1 million, more than double the year-ago period, reflecting a rapidly expanding clinical development budget. Research and development expenses for the first half reached $265.9 million.

With no product revenue on the books, the additional cash provides a runway of approximately two years at the annualized first-half burn rate, according to StockTi calculations. However, trial payment schedules are uneven, so investors should view this as an estimate rather than company guidance.

Market Reaction and Analyst Views

The $35 offering price, which was set at a 15.97% discount to Wednesday's closing price of $41.65, served as a clear anchor for the stock. Shares traded only 2.8% above the offer price in early Thursday trading, with volume reaching 9.46 million shares, more than three times the three-month average.

Analyst recommendations remain polarized. Oppenheimer raised its price target to $120 on September 22, while Leerink Partners and Jefferies both maintained Buy ratings with targets of $118 and $101, respectively. Truist's Joon Lee lifted his target to $87, calling the maintenance data a "best-case scenario." In contrast, Goldman Sachs remains cautious with a Hold rating and a $38 target, which sits near Thursday's trading price.

Dilution and Risks

The stock tranche increases Viking's share count by approximately 6.7%, and full conversion of the notes would add another 4.43 million shares. Combined base dilution could reach 10.5% if all notes convert, excluding employee awards and potential conversion-rate adjustments.

Risks include potential Phase 3 trial failures for VK2735, which would leave the company with a larger share base and new debt against no approved product. Additionally, faster-than-expected trial spending could consume the added cash sooner than projected.

The offerings are scheduled to settle on September 25. Viking plans to initiate Phase 3 studies for oral VK2735 in the fourth quarter, which will be a key catalyst for the stock.
