Workday, Inc. (NASDAQ: WDAY) shares are trading at $200.81 in premarket activity on Monday, up 0.40% from Friday's close. This price is 14.6% above the level seen on August 12, before reports emerged of potential takeover interest from private equity firm Silver Lake. The current valuation now embeds roughly $5.1 billion in additional equity value compared to the average analyst price target of $180.58, a premium that will be put to the test when the company reports fiscal second-quarter earnings after Thursday's market close.

The buyout speculation began on August 13, when Reuters reported that Silver Lake and Workday had held discussions over the past few months. The talks were described as ongoing, but neither party has confirmed them, and sources cautioned that a deal might not materialize. Following the report, Workday's stock surged 17.8% in a single day, reaching an intraday high of $227.49. Since then, the shares have pulled back by about 11.7% from that peak, reflecting market skepticism about the certainty of a transaction.

The valuation gap is significant. With approximately 254.3 million diluted shares outstanding, the $20.23 per-share premium over the consensus target translates into roughly $5.1 billion in additional market capitalization. This premium is a bet that a buyout will occur, but investors are also weighing the fundamentals of the stand-alone business. Workday's fiscal first-quarter results, reported in May, showed subscription revenue of $2.354 billion, up 14.3% year-over-year, while total revenue grew 13.5% to $2.542 billion. The company also reported a 12-month subscription backlog of $8.806 billion, up 15.5%, and free cash flow of $616 million, up 46.3%.

Looking ahead, management has guided for fiscal second-quarter subscription revenue of $2.455 billion, representing 13% growth, and a non-GAAP operating margin of 30.0%. These figures will serve as the benchmark for the company's stand-alone performance. If the results and guidance fall short of expectations, the takeover premium could evaporate quickly. Conversely, strong numbers might justify the elevated valuation even without a deal.

Analyst sentiment is mixed. Jefferies analyst Brent Thill raised his price target to $225 on Sunday but maintained a Hold rating, noting that the stock offers more than 20% upside if a deal closes and 15% downside if it doesn't. Other recent ratings include Cantor Fitzgerald's Buy with a $220 target, Guggenheim's Buy with a $275 target, and TD Cowen's Hold with a $220 target. The consensus rating is Buy, but the average target of $180.58 sits 10.1% below the current trading price, highlighting the disconnect between analyst expectations and market pricing.

The market's optimism is not without risks. The talks between Silver Lake and Workday could end without an agreement, as the sources warned. Additionally, a potential buyout could face financing, governance, and regulatory hurdles. Weak bookings or a disappointing outlook in Thursday's report could also remove the premium, as investors focus on the fundamentals rather than speculative deal hopes.

Workday's co-founder and CEO, Aneel Bhusri, has expressed confidence in the company's position, stating in May that "Workday is ready for this AI moment," citing a strong core business and faster AI execution. The company's cash and securities stand at $4.35 billion, providing a solid financial foundation.

Thursday's earnings release will be a pivotal moment. If a deal update is provided, it will dominate headlines. Otherwise, the market will scrutinize the subscription backlog, growth guidance, and margin targets to determine whether the $5.1 billion premium is justified by the company's stand-alone prospects. As the stock trades near $200, the stakes are high for both bulls and bears.
