The IPO's structure has also drawn scrutiny. The offering comprised 13.8 million newly issued shares (31.7% of the base deal) and 29.7 million shares sold by existing holders (68.3%). This secondary-heavy transaction meant that only about 13.7% of the company's total shares were offered to the public, limiting price discovery. Blackstone (NYSE:BX) retained control of roughly two-thirds of the voting rights, and underwriters hold an option to purchase an additional 6.52 million shares from existing holders.

Despite the tepid market reception, Jersey Mike's fundamentals show growth. In 2025, revenue increased 11% to $724 million, with adjusted EBITDA of $339 million and net income of $55 million. The company operates over 3,300 locations, and CEO Charlie Morrison highlighted the model's "predictability in performance" and "tons of portability and white space."

At Friday's close, Jersey Mike's market capitalization stood at $7.28 billion, roughly 10.1 times projected 2025 revenue. This valuation is comparable to CAVA's $7.39 billion market cap, but more than double Wingstop's $3.18 billion.
