Hyperliquid Strategies Inc. (NASDAQ: PURR) closed Friday at $14.09, a 9.82% gain, as trading volume surged to 57.46 million shares—roughly 2.25 times its recent average. The rally followed an SEC filing that lays bare the company's central gamble: selling more equity to acquire HYPE tokens while hoping token appreciation outpaces share dilution.

The September 14 prospectus allows for the sale of up to 160 million shares through Chardan Capital Markets. With 237.9 million shares outstanding as of September 8, full issuance would expand the share count by 67.3% to 397.9 million. The company reported $1.4 billion in potential facility proceeds remaining as of September 8, with about $1.1 billion already received.

Friday's move extended PURR's weekly gain to 18.9%, outpacing HYPE's 15.2% rise over the same period. The stock's premium to its token holdings widened as a result. At Friday's token close of $92.54, the company's 33.2 million HYPE tokens would be worth approximately $3.07 billion, versus a market capitalization of $3.35 billion based on the latest share count—a modest 9.1% premium.

That premium is only an illustration, not a net asset value, as it excludes subsequent token purchases, cash, liabilities, and the impact of future share sales. The company's weekly dashboard carries a one-week data delay, so the most recent token balance may differ.

Chief Executive David Schamis said in August that the company had "more than doubled our HYPE treasury," citing no debt and noting that substantially all tokens were staked. However, the year-end release predates this week's facility amendments, which could alter the terms of future share sales.

Wall Street remains broadly bullish, though the target range is unusually wide. Analyst calls span from $10 to $34.20, implying potential returns from -29% to +143% from Friday's close. The dispersion reflects uncertainty around both token prices and the pace of equity issuance.

The strongest counterargument to dilution concerns is that selling stock above token-backed value could fund additional HYPE purchases, potentially adding value per share if the new tokens generate returns exceeding the dilution impact. That outcome depends on sale prices, deployment timing, and token performance.

Risks remain significant. A decline in HYPE prices or discounted sales through Chardan could reduce token value per PURR share, even as the company reports a larger absolute token balance. The equity facility allows sales at 98.5% of the volume-weighted average price during regular sessions and 97% in off-hours, giving Chardan a built-in discount.

With Nasdaq trading resuming Monday, investors will watch for the next weekly HYPE balance update and any filings related to facility sales. Whether Friday's rally translates into improved token exposure per share will be a key test of the company's strategy.
