Scorpio Gold ADS Rockets 129% on Nasdaq Debut, Premium Widens

Scorpio Gold Corporation's American Depositary Shares (ADS) experienced a dramatic surge on their second day of trading on the Nasdaq, climbing 129.1% to $11.66 by 09:34 EDT on September 2, 2026. This remarkable rally follows the company's recent listing, which has attracted significant investor attention.

Nasdaq Premium Widens

The U.S.-listed shares are trading at a substantial premium compared to the company's listing on the TSX Venture Exchange (TSX-V). At the same time, Scorpio Gold shares on the TSX-V were quoted at C$0.54. When adjusted for the ADS ratio of 20 common shares per ADS, the equivalent TSX-V value is approximately $7.77, based on the current USD/CAD exchange rate. This translates to a 50.1% premium for the Nasdaq security, highlighting a significant divergence between the two listings.

This price discrepancy is primarily driven by market mechanics rather than any new fundamental developments. Investors are closely watching the conversion and arbitrage opportunities that may arise as the market adjusts to the new listing.

Trading Volume and Liquidity

The Nasdaq listing has seen robust trading activity, with over 5.6 million ADS changing hands shortly after the market opened. This high volume suggests strong investor interest and liquidity in the U.S. market, which may be contributing to the premium. The company began trading on Nasdaq on September 1, with each ADS representing 20 common shares. The Bank of New York Mellon is facilitating the issuance and cancellation of ADS, with no issuance fees applicable until November 25. After that date, a fee of $5 per 100 ADS will be charged, which could impact future conversion activity.

Financial Position Raises Concerns

Despite the market enthusiasm, Scorpio Gold's financial position remains precarious. As of June 30, the company reported cash and equivalents of $2.59 million, a significant decline of 69% from $8.34 million at the end of December. Working capital also contracted sharply, falling 83% to $1.39 million over the same period. The company's exploration spending totaled $8.30 million for the six months ended June 30, while operating activities consumed an additional $1.33 million. The company reported a net loss of $3.12 million with no revenue generated during the quarter.

Management has stated that current funds are insufficient to support 12 months of planned operations, underscoring the need for additional financing. This financial strain makes the company's valuation and access to capital markets critically important for its future.

Underlying Asset: Manhattan District

The company's primary asset is the Manhattan District in Nevada, which hosts an inferred resource of 740,000 ounces of gold at a grade of 1.26 grams per tonne, using a cutoff grade of 0.3 grams per tonne. Recent drilling results have been encouraging, with July assays showing 2.05 grams per tonne over 97.99 meters. Exploration chief Harrison Pokrandt noted that "Manhattan keeps reinforcing its district-scale potential," though these results are not the catalyst for today's trading surge.

Valuation Discrepancy and Risks

Based on June's share count of approximately 302.96 million shares, the ADS price implies an equity value of $176.6 million, while the Canadian listing suggests a value of $117.7 million. This significant gap may narrow as conversions are completed and settlement timelines align. However, limited float and borrowing constraints could prolong the premium. Investors should be aware of risks including potential dilution from additional financing, exploration uncertainties, and permitting challenges. The trading activity does not provide any direct funding to Scorpio Gold, making the company's financial sustainability a key concern.

As the market digests this new listing, the immediate focus will be on the convergence of the two listings and the company's ability to secure the necessary capital to advance its projects.
