UiPath Inc. (NYSE: PATH) saw its shares climb 2.9% on Monday, closing at $18.67, as the market gears up for the company's fiscal second-quarter earnings report due Thursday after the bell. The stock's current price is a notable 62.8% above the average repurchase price of $11.47 recorded during the first quarter, highlighting a significant shift in the company's capital allocation dynamics.
The widening gap between the buyback price and the current market value has important implications for UiPath's share repurchase program. Each dollar allocated to buybacks now retires considerably fewer shares than it did in the previous quarter, reducing the program's effectiveness in boosting shareholder value. At the Q1 average price of $11.47, $100 million would have retired approximately 8.72 million shares; at Monday's close of $18.67, the same outlay would repurchase only about 5.36 million shares, a reduction of roughly 38.5%.
UiPath's management has been active in buybacks, having repurchased 20.4 million shares in the first quarter at an average price of $11.47, and an additional 2.4 million shares at an average of $9.63 through May 15. The company reported $436.9 million remaining under its authorization as of April 30, and holds $1.42 billion in cash and marketable securities, providing ample flexibility for future capital returns.
Investor attention is now firmly focused on the upcoming earnings release, scheduled for September 3, which will provide a crucial update on the company's annual recurring revenue (ARR) growth. UiPath has guided for second-quarter ARR in the range of $1.929 billion to $1.934 billion, with a midpoint of $1.932 billion, implying a year-over-year growth rate of approximately 12.1%. This would nearly match the 12% growth achieved in the first quarter, when ARR reached $1.901 billion.
The company's revenue trajectory, however, is expected to decelerate. First-quarter revenue surged 17% to $418.4 million, but the guidance midpoint for the second quarter suggests only a 9.9% increase to $397.5 million, compared to $361.7 million in the year-ago period. This slowdown reflects broader market conditions and a more cautious enterprise spending environment.
Chief Executive Daniel Dines has emphasized that the company's agentic products are transitioning "from pilot to production," a shift that will be closely scrutinized in the upcoming report. The ability to sustain recurring revenue growth while navigating a slowing top line will be a key test for management's strategy.
At Monday's close, UiPath traded at approximately 20.6 times forward earnings, according to Yahoo Finance. The stock's valuation could come under pressure if the company fails to meet its ARR targets, especially given the elevated buyback price. Conversely, maintaining growth would help justify the current premium.
Risks to the outlook include potential guidance revisions, suspension of buybacks, competitive pressures, currency fluctuations, and limited enterprise IT spending. Investors will be watching Thursday's results closely for any signs of strain in the company's recurring revenue engine.
With the ARR figure approaching $1.932 billion, the growth narrative appears supported, but missing this target could make justifying the higher buyback price more difficult. The market's reaction to the earnings release will likely set the tone for the stock in the coming weeks.
