NEW YORK, July 27, 2026 – Baiya International Group (NASDAQ:BIYA) experienced a dramatic surge on Monday, with its stock price more than doubling following a sharp decline the previous week. Early closing figures placed the stock at $4.17, representing a 116.1% increase from Friday's close of $1.93. The move occurred outside of regular Nasdaq trading hours, with shares last seen around $3.92 after the bell.

Trading volume was exceptionally high, reaching 84.26 million shares. This volume represents 26.1 times the company's most recently reported Class A share count of 3.23 million, as disclosed on Thursday. The surge comes after Baiya shares fell 53.4% last week, dropping from $4.14 on July 17 to $1.93 by Friday. Monday's close was only 0.7% above that recent low.

The price rally has implications for Baiya's shelf registration statement filed on Form F-3 with the SEC on Thursday. The filing included up to $200 million in issuer securities and up to 50 million Class A shares that could be resold by selling stockholders. However, the $200 million figure does not represent immediately available funding. Under SEC rules, issuers using the small-float path of Form F-3 are limited to selling no more than one-third of their nonaffiliate public float over a 12-month period.

Based on the filing basis, the one-third test equated to approximately $1.67 million, using a reference price of $3.51 and assuming 1,430,732 nonaffiliate shares. Applying Monday's closing price of $4.17 to the same share count yields an estimated capacity of $1.99 million. This represents an 18.8% increase from the filing baseline, though it remains well below 1% of the $200 million headline shelf amount. The SEC permits using a price date from within 60 days, so actual capacity could vary.

The resale portion of the filing stands apart. The 50 million shares registered for resale represent roughly 15.5 times Baiya's outstanding Class A shares. Baiya will not receive any proceeds from those sales, and the selling stockholders have not yet been identified; a prospectus supplement will be required to disclose them.

It is important to note that the filing is still preliminary and has not been declared effective by the SEC. No sales can occur until it becomes effective, and any offering would require a prospectus supplement outlining the terms. Baiya has not issued any corporate announcement on Monday, and the most recent press release, dated July 8, disclosed a 1-for-10 reverse stock split to meet Nasdaq's minimum bid-price requirement.

Comparisons to previous performance are complicated by Baiya's recent divestiture. On June 25, the company sold the businesses that had generated nearly all of its historical revenue for $2 million via a promissory note. Baiya cautioned that past financial statements “should not be relied upon” as forward-looking guidance. The company now operates in the same industry through its wholly owned Chuzhou unit.

Looking ahead, investors will be watching for either an effectiveness notice from the SEC or a prospectus supplement, both of which would detail key information such as sellers, pricing, and sale terms. Trading activity will indicate whether Monday's unusually high volume persists.
