GoPro Inc. (NASDAQ: GPRO) experienced a dramatic premarket surge on Tuesday, with shares climbing 64% after online personality Mark Edward Fischbach, widely known as Markiplier, revealed a significant stake in the action camera maker. The stock was last trading at $1.44 at 08:44 EDT, up from Monday's close of $0.8762, on volume of 116.6 million shares.

Fischbach disclosed in a passive Schedule 13G filing with the SEC that he holds 13.5 million Class A shares, representing 8.5% of that share class. The filing, dated July 13, values the stake at approximately $19.4 million based on Tuesday's premarket price, a figure that represents about 71% of GoPro's cash holdings as of June 30.

The rally comes as GoPro grapples with a challenging financial position. The company reported $27.3 million in cash and equivalents and $87.2 million in principal debt at the end of the second quarter. During the first half of 2026, GoPro used $47.4 million in operating cash flow, according to its Form 10-Q filed August 10.

GoPro's fundamentals remain under pressure. Second-quarter revenue fell 31.3% year-over-year to $104.9 million, with hardware revenue declining 39.9% to $76.0 million. Subscription and services revenue, however, grew 10.6% to $29.0 million, offering a bright spot in an otherwise challenging environment.

The company has been conducting a strategic review process aimed at maximizing shareholder value. CEO Nicholas Woodman stated that the process "continued to advance," with the board considering options that could include a sale or merger. However, no deadline has been set, and there is no guarantee any transaction will occur.

Despite the premarket surge, significant risks remain. The stock must maintain closing bids above $1 for at least 10 consecutive trading days to regain compliance with Nasdaq listing requirements. Tuesday's closing price will be critical in determining whether the rally can be sustained.

Market observers note that premarket prices can be volatile and may reverse once regular trading begins. Fischbach's passive stake does not provide additional funding, alter debt obligations, or guarantee a buyer will emerge. The rally appears driven by sentiment rather than fundamental changes.

Investors are now focused on whether the momentum can hold through the regular session and beyond. The stock's two-session re-rating, from $0.8762 to a premarket high of $1.83, reflects heightened speculation, but the company's underlying financial challenges remain unresolved.
