IREN (NASDAQ:IREN) has officially closed its acquisition of Mirantis, the cloud infrastructure software provider, with the combined entity now valued at approximately $555 million. The final consideration, disclosed on Tuesday, August 4, 2026, includes roughly 12.6 million IREN shares and about $40 million in cash and other payments.
The deal's market value stands 11.2% below the $625 million headline figure announced earlier, primarily due to a decline in IREN's share price from the $45.66 reference price used in the merger filing to Tuesday's closing price of $40.85. This $70.3 million gap underscores the risk inherent in stock-based acquisitions, where the seller bears the burden of share price volatility between signing and closing.
IREN's stock rose 2.77% on Tuesday to $40.85, although it lagged the broader AI infrastructure rally. Peers Applied Digital (NASDAQ:APLD) gained 6.04% and Nebius Group (NASDAQ:NBIS) advanced 6.19%, averaging a 6.1% increase, while the Nasdaq Composite climbed 2.7%. This relative underperformance may reflect investor concerns about dilution and the deal's strategic fit.
The acquisition adds Mirantis's workload orchestration and monitoring capabilities to IREN's data center operations, supporting its AI Cloud expansion. Mirantis, which has served over 1,500 enterprise clients and is an NVIDIA (NASDAQ:NVDA) AI Cloud Ready partner, brings a software platform that enables IREN to manage enterprise workloads more efficiently. CEO Daniel Roberts described the company as 'turning infrastructure into a platform.'
Despite the reduced valuation, the deal is relatively small compared to IREN's ambitious growth targets. The company aims to secure over $4.0 billion in AI Cloud annual recurring revenue (ARR) by 2026, with 85% of that under contract, implying at least $3.4 billion in contracted ARR. Mirantis represents roughly 14% of this target, a modest contribution that underscores the scale of IREN's broader strategy.
The transaction introduces approximately 12.6 million new shares, representing about 3.5% dilution based on IREN's share count as of April 30. This dilution, coupled with the potential registration of up to 12.0 million resale shares, could increase the available tradable supply, pressuring the stock in the near term. IREN's cash outlay, however, was minimal—just $40 million, or about 0.5% of its preliminary June 30 cash balance of $7.6 billion.
In a separate filing, Bank of America (NYSE:BAC) disclosed a beneficial stake of 21.0 million IREN shares, or 5.8%, as of June 30, a notable vote of confidence from a major financial institution. This ownership comes as IREN's stock has experienced extreme volatility, with a 30.54% surge on July 30 following a 13.62% drop the previous day, highlighting the speculative nature of AI infrastructure investments.
Looking ahead, investors await further clarity on Mirantis's revenue and earnings contribution, as IREN has not disclosed these figures, making it impossible to calculate a purchase multiple. The integration of Mirantis's software and the conversion of non-GAAP ARR targets into recognized revenue will be key metrics to watch. Nebius Group's second-quarter earnings, scheduled for August 12, will provide the next industry-wide data point on AI cloud demand and deployment economics.
